1. SCOPE OF TERMS
These Website Terms of Use (“TOU”) apply to the SafetyNow eLearning website and learning platform operated by Bongarde Media Inc. and its affiliates (“SafetyNow,” “Bongarde,” “we,” “us,” or “our”), including all webpages, portals, subdomains, and learning management system environments linked to or accessed through the SafetyNow platform (collectively, the “Site”).
Through the Site, we provide access to online safety training courses, learning content, assessments, reporting tools, and related customer support services (collectively, the “Services”).
By accessing the Site or using the Services, you agree to be bound by these TOU. If you do not agree, you must not access or use the Site or the Services.
Certain Services may be subject to additional terms or service-specific conditions (“Service Terms”). In the event of a conflict between these TOU and any Service Terms, the Service Terms will control.
We may update these TOU from time to time. If changes are material, we will post notice on the Site. Continued use of the Site or Services after such changes constitutes acceptance of the updated TOU.
2. USE TERMS AND RESTRICTIONS
Unless otherwise expressly authorized in writing, the Site and Services are provided solely for your internal business use in connection with workplace safety training.
You may not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any portion of the Site or Services
- Share access credentials with unauthorized users
- Use the Services for the benefit of third parties outside your organization
- Reverse engineer, scrape, or attempt to extract source content or system logic
You may not use the Site or Services in any manner that:
- Violates applicable laws or regulations
- Infringes intellectual property rights
- Disrupts or interferes with system integrity or availability
- Attempts to gain unauthorized access to accounts, data, or systems
3. PRIVACY AND PROTECTION OF PERSONAL INFORMATION
Your privacy is important to us. Our collection and use of personal information is governed by the SafetyNow Privacy Policy, which is incorporated by reference into these TOU.
4. USER ACCOUNTS, PASSWORDS, AND SECURITY
Access to certain Services requires account registration.
You agree to:
- Provide accurate, current, and complete registration information
- Maintain the confidentiality of login credentials
- Accept responsibility for all activity under your account
You must notify us immediately of any unauthorized access or suspected security breach. We are not responsible for losses resulting from unauthorized use of your account.
5. MEMBERSHIP TERMS, RENEWAL, AND CANCELLATION
Membership Structure
SafetyNow eLearning is provided on a subscription membership basis, typically for one-year or multi-year terms.
Automatic Renewal
Unless properly cancelled, subscriptions automatically renew at the end of the current term at the then-current rate.
Notice of Non-Renewal
To prevent renewal, you must provide written notice of intent not to renew at least ninety (90) days prior to the renewal date.
Failure to provide timely notice will result in renewal and billing for the subsequent term.
No Refunds
All fees are non-refundable. No credits or refunds will be issued for unused access, early termination, or partial terms.
6. PROPRIETARY RIGHTS
All content, courses, videos, assessments, documentation, software, trademarks, and other materials available through the Site or Services are the exclusive property of Bongarde or its licensors and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services solely for internal training purposes during an active subscription term.
Unauthorized use may result in immediate termination.
7. INFORMATION SUBMITTED BY USERS
You may submit feedback, comments, course-related information, or other materials (“User Content”).
You agree not to submit content that is unlawful, defamatory, invasive of privacy, or otherwise harmful.
By submitting User Content, you grant Bongarde a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with providing and improving the Services.
8. THIRD-PARTY SITES AND SERVICES
The Site may include links to third-party websites or integrations. These are provided for convenience only.
SafetyNow is not responsible for third-party content, services, policies, or practices. Your interactions with third parties are solely between you and that party.
9. LINKING TO THE SITE
You may link to the Site provided that:
- You do not imply endorsement or affiliation
- You do not frame or mirror SafetyNow content
- You cease linking upon request
Use of SafetyNow logos, trademarks, or branded assets requires prior written permission.
10. DISCLAIMERS
THE SITE AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
SAFETYNOW MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR REGULATORY COMPLIANCE.
TRAINING COMPLETION DOES NOT GUARANTEE COMPETENCY, CERTIFICATION, OR LEGAL COMPLIANCE. YOU REMAIN SOLELY RESPONSIBLE FOR IMPLEMENTATION AND SUPERVISION.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SAFETYNOW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
12. INDEMNIFICATION
You agree to indemnify and hold harmless Bongarde, its affiliates, officers, directors, employees, and licensors from any claims, losses, or damages arising from:
- Your use of the Site or Services
- Your violation of these TOU
- Your training decisions or workplace practices
13. COPYRIGHT INFRINGEMENT (DMCA)
SafetyNow complies with applicable copyright laws and maintains a policy for addressing infringement claims consistent with the Digital Millennium Copyright Act.
Designated Agent contact details will be provided on the Site.
14. GOVERNING LAW AND JURISDICTION
For customers located in Canada, these TOU are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein, and disputes shall be brought in the courts of British Columbia.
For customers located in the United States or anywhere other than Canada, these TOU are governed by the laws of the State of Delaware, without regard to conflict of law principles, and disputes shall be brought in the state or federal courts located in Delaware.
15. GENERAL PROVISIONS
- If any provision is found unenforceable, the remaining provisions remain in effect
- These TOU constitute the entire agreement regarding Site use
- Failure to enforce a provision is not a waiver
- You may not assign these TOU without written consent
